Terms of Service

Last updated: September 22, 2026

1. Acceptance of Terms

By creating an account, accessing, or using RelayPoint (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are creating an account on behalf of a business, you represent that you have the authority to bind that business to these Terms, and "you" refers to that business.

2. Description of the Service

RelayPoint is a software-as-a-service platform for fleet operators, providing vehicle record-keeping (driver vehicle inspections, defect logging, service reminders, and document expiry dates), dispatch and job management, receipt tracking (money paid and money received), a record of payments a customer has made against a job (RelayPoint does not process those payments), equipment location tracking, driver time tracking, an optional public instant-quote page, and related tools. Certain features, including live vehicle location tracking, route suggestions, and instant photo quotes, are available only on paid subscription tiers as described in Section 4.

3. Accounts and Eligibility

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Each company account ("Company") is created by one owner account and may add user accounts for its employees (dispatchers and drivers); the Company is responsible for the conduct of all users it creates or invites.

4. Subscription Plans and Billing

Pricing. RelayPoint is billed per truck. New companies receive 7 days of full Pro-tier access at no charge for every truck the company adds, counted from the day the company adds its first truck. One trial per business: an account whose owner phone number, sign-up device or trucks were already used for a trial starts on a paid plan, and a truck that already had a trial under another account is not covered again. After the trial, each truck must be placed on a paid plan (Standard or Pro, billed monthly or annually) to continue functioning; unpaid trucks are locked from creating new records; their existing records remain readable and exportable for as long as the account exists (see "Your Data" below for when a closed account is deleted).

Pro-plan features (including live location tracking, the job map, route suggestions, reports, equipment tracking, and instant photo quotes) are not available on the Standard plan once the trial has ended.

We reserve the right to change our pricing with at least 30 days' notice to existing customers.

Non-payment. If payment for a truck fails and its subscription ends unpaid, that truck is locked as described above until it is paid for again.

Cancellation. You may cancel a truck's subscription at any time. A cancelled truck continues to function normally through the end of its current paid period. No refunds, partial or otherwise, are issued for the unused portion of a billing period upon cancellation.

Plan changes. Switching a truck between plans applies to all currently paid trucks on your account at once. Stripe will prorate the price difference for the remainder of the current billing period.

5. Acceptable Use

You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access to any part of the Service or another Company's data; interfere with or disrupt the Service; reverse-engineer or attempt to extract the source code of the Service, except where applicable law permits it; or use the Service to store or transmit content that is unlawful, harassing, or infringing.

6. Your Data

You retain ownership of the data you input into the Service, including vehicle records, inspection reports, defect logs, photos, job and customer information, job payment records, equipment records, time-clock records, and receipts ("Customer Data").

You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service.

You represent that you have obtained all necessary consents to input personal information about your employees, drivers, and your own customers (e.g., names, phone numbers, and addresses entered for dispatch purposes) into the Service, and to permit us to process that information as described in our Privacy Policy.

If you close your account it becomes read-only: nothing new can be logged, and you can read and export your Customer Data while it remains closed. A closed account, and everything in it, is permanently deleted three years after the date it was closed; we email the account owner 30 days beforehand. An account with no paid vehicle and no activity for 90 days is closed automatically, and the account owner is notified by email. You are responsible for exporting and keeping any records you are required by law to retain.

7. Compliance Disclaimer — DVIR and Regulatory Responsibility

RelayPoint is a record-keeping tool: it helps you record, organize, and retrieve vehicle inspections, defects, and related information. It stores what you and your users enter and does not check it for accuracy or completeness. Exports, including the per-vehicle "DOT-audit" PDF, are copies of those records and are not a certification of anything. RelayPoint is not a certified electronic logging device (ELD) and does not keep hours-of-service logs. Guides and other educational material we publish are general information, not legal advice. RelayPoint does not guarantee compliance with any federal, state, or local law or regulation, including FMCSA regulations (49 CFR Parts 392 and 396). You remain solely responsible for ensuring your vehicles, drivers, and operations comply with all applicable laws. Use of the Service does not substitute for your own legal or safety review, and does not shift regulatory responsibility from you or your drivers to RelayPoint.

8. Routing Disclaimer

Where available on your subscription tier, RelayPoint may suggest vehicle routes, computed by a third-party mapping provider. These routes are suggestions only. A suggested route may be an ordinary road route that does not take your vehicle’s height, weight, length, or cargo into account, even where you have entered those details. Routing data may be incomplete, outdated, or inaccurate, and RelayPoint does not guarantee that any suggested route is safe, legal, or appropriate for your vehicle. Drivers and carriers remain solely responsible for verifying that any route is safe and lawful before and while driving it, including compliance with posted signage, bridge clearances, weight restrictions, and local ordinances. RelayPoint is not liable for any damage, fine, injury, or loss resulting from reliance on a suggested route.

9. Location Tracking

If enabled on your subscription tier, the Service may collect location data from a driver's device while that driver has an active assigned job and the app is running. This data is used to display vehicle location to dispatchers within your Company and to compute routes. See our Privacy Policy for more detail on how location data is collected, used, and retained.

10. Instant Quote Estimates

If your Company enables the public instant-quote page, prospective customers can submit photos and contact details and receive an automatically generated price range computed from the rates your Company configures. These figures are estimates only, not binding offers; your Company is solely responsible for the final price it quotes and for the rates it enters. Photos submitted through the quote page are analyzed by a third-party AI model provider to estimate what they show.

11. Communications (Email and Text Messaging)

Account-related messages — verification codes, invitations, password resets, and billing, trial and account notices — are sent by email. The Service does not currently send automated text messages. Where the Service offers a “text” or “call” button, it opens the messaging or phone app on your own device with a message already written; that message is sent by you, from your own number, through your own carrier, and you represent that you have the recipient’s consent before sending it. If we introduce automated text messages in the future, we will ask for your consent first; message frequency will vary with your account activity, message and data rates may apply, and recipients will be able to opt out at any time by replying STOP or get help by replying HELP.

12. Third-Party Services

The Service relies on third-party providers, including but not limited to a mapping and routing provider, a transactional email provider, a cloud-based photo storage provider, an AI model provider (for instant photo quotes), a payment processor, a website analytics provider (public pages only), an error-monitoring provider, and cloud hosting providers. We are not responsible for outages, errors, or data handling by these providers beyond our reasonable control.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELAYPOINT AND STRYDE TRANSPORT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless RelayPoint and Stryde Transport LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right, including claims arising from your drivers' operation of vehicles.

16. Termination

We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with reasonable notice. You may close your account at any time from the Billing page, or by contacting us at support@relaypoint.us. Closing an account sets its paid plans to end at the close of the period already paid for, so they do not renew.

17. Changes to These Terms

We may update these Terms from time to time. We will provide notice of material changes (e.g., via email or an in-app notice). Continued use of the Service after changes take effect constitutes acceptance.

18. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in the Commonwealth of Massachusetts, and you consent to the personal jurisdiction of those courts.
